The Director will be responsible for full cycle contract process and development from inception to termination.  This individual will manage and oversee all aspects of company contracts and subcontracts development, review, and negotiation, either directly with the government, teaming partners, subcontractors and prime partners.  The position will ensure contract compliance and participate in all company activities related to solicitation responses, requests for contract reviews, program reviews, contract award kickoffs, and oversight of transition activities.  

Responsibilities

  • Serves as the organizations’ subject matter expert (SME) on all matters of a contractual nature, including information being requested and presents to governmental agencies and customers, provides risk assessments and recommendations to Executive Management with respect to new contracts / subcontracts / modifications and change orders
  • Provides management, oversight, guidance and direction with respect to the negotiation and administration of all contracts and subcontracts (IDIQ / FFP / T&M and/or L-h / Cost-type / Letter Contracts), teaming agreements, and nondisclosure agreements
  • Assists with administration of contracts under the Davis Bacon Act, and the Service Contract Act
  • Directs the issuance and implementation of all policies, procedures, methods of operating practices and functional performance standards to facilitate effective implementation with program objectives and requirements
  • Responsible for the management and oversight of activities directly related to procurement activities supporting company prime contracts and subcontracts, focusing on improving the company overall bottom-line and strategic business performance
  • Establishes and facilitates Program Performance Reviews across the company
  • Reviews all initial contract awards, and initiating Contract Kickoff and Transition meetings involving all stakeholders across the company, as well as subcontractor kickoff activities and tasks
  • Participates in and developing business strategies in coordination with Operations, Legal, Finance, Risk Management and Business Development departments and functions
  • Responsible for the adequacy of all Contracts and Subcontracts, analysis of unique requirements, assessment of risk(s), and performing cost and price analysis, if, and when, required.  
  • Interfaces directly with company officers and/or functional departments to resolve and/or mitigate contract issues and concerns; and, work with other business units to manage disputes or other requirements
  • Develops and negotiates various agreements with strategic partners, (i.e. Non-disclosure and Teaming Agreements), second-tier subcontractors, team members, etc.
  • Provides leadership in the negotiation of all contracts / subcontracts and provides advice to the leadership team on the acceptability of contractual terms and conditions and deviations
  • Possesses a strong knowledge of the contract management system, record retention and disposition procedures with specialized experience in Federal Government contract closeout procedures that includes all activities and procedures required to closeout all completed government / civilian agency contracts by coordinating all closeout actions in accordance with the FAR; coordinates closely with the finance and accounting teams for de-obligation and closeout activities  
  • Assists with developing, executing and maintaining internal standard operating procedures for the Contracts Department
  • Serves as liaison for the organization and when needed, works with outside counsel with respect to legal activity or transactions the company leadership requests, particularly related to the FAR
  • Collaborates with the accounting staff and leadership to interface with DCAA / DCMA with regard to audits of our existing contract(s)
  • Creates Small Business Subcontracting Plans and submits the required bi-annual eSAR reports
  • Assists in the structuring and strategy of all subcontracts and strategic procurement business relationships by assuring compliance with all applicable federal, state and local laws
  • Evaluates subcontractor proposals for compliance and risks to the solicitation ensuring all aspects to requirements are considered from pricing or cost to include the management volume
  • Interfaces with the proposal team (senior managers, technical leads, contracts and finance) to ensure proposal costing follows all Cost Accounting Standards and procedures
  • Ensures compliance with government contracting requirements, FAR, AMS, DCAA, other applicable regulatory bodies and policies / regulations, and contract finance requirements, and identify corporate solutions to meet compliance
  • Coordinates with Program Managers to provide guidance on contractual requirements and ensure contract requirements are fulfilled
  • Monitors and reviews solicitations, RFPs/RFIs, screen and qualify opportunities, lead or support (as needed) the development of proposals through its various phases and color review teams, and submittal of proposal
  • Performs other tasks as required by the company leadership team

Required Qualifications/Education and Experience

  • Bachelor’s degree (preferably in contract management or administration) 
  • 10 or more years’ experience in a Contract Management leadership position with a federal government contractor 
  • Must possess advanced proficiency and deep knowledge of the Federal Acquisition Regulation (“FAR”), Defense Federal Acquisition Regulations (“DFAR”), Cost Accounting Standards (“CAS”); and, related federal and state legislation and regulations 
  • Must be knowledgeable with FAR Part 44, Contractor Procurement System Review (“CPSR”) requirements/audits/and follow-up ACO surveillance audits; direct and indirect rates; funding de-obligations; novation agreements; release of claims and guaranty agreements; termination liabilities 
  • Prior knowledge and experience with federal contract compliance and ethics programs requirements imposed by the FAR
  • Proficiency in understanding government RFPs, RFQ’s and other solicitation
  • Possess prior knowledge of government contract interpretation
  • Strong ability to read and analyze financials  
  • Ability to interpret, understand, edit and modify complex written documents 
  • Strong ability to work independently and in a proactive manner
  • Ability to multi-task and assist with schedule prioritization  
  • Ability to create appropriate contractual documents and to analyze unique contractual situations
  • Excellent writing capabilities are essential

Travel

  • This position may require up to 10% travel. Occasional overnight travel may be required
